I. Confidentiality of the offer

This offer is to be treated as confidential if not agreed otherwise. Passing this offer to a third party without the expressed consent of ISCOPE GmbH is not permitted.

II. Material

Images and texts have to be supplied by the customer in digital form or are billed separately after consultation with the client. If additional costs occur resulting from the use, creation or acquisition of writings, photographs, software, etc., they will be billed separately after further consultation.

III. File Delivery / open files

On a customers request all parts of the developed product will be passed to the customer. This includes all the created / adapted source codes but will take copyrights of others into account.

IV. Rights

The rights of use for the developed software as described in the offer remain solely by the customer.

V. References

The ISCOPE GmbH reserves the right to use the products (partial and / or total results) that were produced in the development as references. Details given by the customer will remain confidential.

VI. Unexpected higher expenses

This offer contains a 15% buffer. In the unlikely cause of additional costs of more than 15% we will provide you with a separate offer as soon as possible.

VII. Expenses and travel costs

Travel costs will be billed separately unless agreed otherwise. This also includes any expenses.

VIII. Payment

If not agreed otherwise within the offer:

1. Projects up to a volume of 50,000 EUR: 30% of the offer value at the beginning of the project, 40% of the offer value in the project process and the remaining 30% at project completion.

2. For projects over 50,000 EUR order volume we will send a monthly statement corresponding to the estimated duration of the project.

IX. Jurisdiction

Place of performance and jurisdiction is Osnabrück (Germany).

All prices exclude VAT/taxes. This offer is valid for three months. Errors and omissions excepted. If contrary to expectations additional costs of more than 15% arise we provide you with a separate offer as soon as possible (see VI.).

X. Grounds of calculation

The calculation is based on vague information / a vague concept and is to be understood as a rough point of reference. Once receiving a work order we will create a final calculation during the concept phase.
